1.1 In these terms, the following words shall have the following meanings:
(a) “Website” means the website www.panelquotes.com and includes the Platform which is made available through the Website and mobile apps;
(b) “Platform” means the Panel Quotes Platform which is made available by PanelQuotes.com via the Website and Mobile Apps and subject to these terms;
(c) “Supplier” means a party who supplies survey panelists and who has registered with the Platform as a Supplier (Seller);
(d) “Buyer” means a party who is interested in purchasing survey panelists and has registered with the Platform as a Buyer;
(e) “Brief Outline” means an outline generated by a Buyer which sets out the broad outline of the type of survey panelists they wish the Supplier (Seller) to provide;
(f) “Full Project Brief” means a detailed brief generated by a Buyer which sets out in detail the type of survey panelists they wish to engage a Supplier to provide;
(g) “Fee (Credit)” means the fee payable by the Supplier in order to submit a quote (proposal);
(h) “We”, “us” or “Panel Quotes” means Panel Quotes, LLC;
(i) “Registered Users” means either a Buyer or a Supplier who has registered as such with the Platform;
(j) “Content Standards” means the standards set out in the Acceptable Use Policy which must be adhered to in respect of any material submitted to the Platform (including but not limited to the Brief Outline and the Full Project Brief).
2. TERMS FOR PLATFORM USERS
2.1 Buyers may use the Platform in order to advertise their requirements in respect of survey panelists required. Where a Buyer submits a Brief Outline, the Platform will automatically notify Suppliers of the Brief Outline. The Suppliers will be shown the Brief Outline and given the opportunity to pay the Fee (Credits) in order to submit a quote (proposal).
2.2 The Full Project Brief will contain more detail as to the scope of the requirement, the needs of the Buyer, the timeline involved and also possibly a budget estimate.
2.3 The decision to use the services of any particular Supplier is a matter strictly for the Buyer. Panel Quotes makes no warranties whatsoever in respect of the suitability of any Supplier on the Website.
2.4 The payment of the Fee (Credits) by a Supplier is solely in order for the Supplier to submit quote (proposal). The payment of the Fee (Credits) does not guarantee the Supplier that the Buyer will select them to carry out the work or commission the project.
2.5 The placing of the Brief Outline or the Full Project Brief by the Buyer on the Platform is similar in principle to the placing of an advertisement and it is a mere invitation. The payment of the Fee (Credits) by the Supplier does not constitute a binding agreement between the Buyer and the Supplier.
2.6 If a Buyer decides to engage the services of a Supplier via the Platform, it is for those two parties to agree to their own terms as between themselves. Panel Quotes is not a party to the relationship between the Buyer and the Supplier and disclaims all liability in relation to same.
2.7 If you choose, or you are provided with, a user identification code, username, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
2.9 If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at email@example.com.
2.10 If you register an account on the Platform for and on behalf of a company or other organization, you hereby warrant that you have full right and authority to do so and to bind that company or organization to these terms.
2.11 The Platform is made available to Buyers and Suppliers who have a genuine interest in tendering for work or obtaining survey panelists. Where:
(a) a Buyer consistently submits Brief Outlines or Full Project Briefs but they never commission Suppliers to carry out any services for them; or
(b) a Supplier consistently pays for submitting quotes (proposals) but never actually submits a tender for consideration by a Buyer,
then We reserve our right to terminate the account of that Buyer or Supplier. We may as a matter of courtesy, notify that Buyer or Supplier of our intention to terminate their account in order to give them an opportunity to comply with these terms but we are not obliged to do so.
2.12 Where a Buyer submits a Brief Outline or a Full Project Brief to the Platform, the Buyer hereby grants to Panel Quotes a non-exclusive, royalty-free, perpetual license to host that content on the Platform and to make it available for the purposes and in the manner envisaged in these terms.
2.13 Any content you upload to our Website will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of the Platform a limited license on the terms set out above at 2.12 in order to use, store and copy that content and to distribute and make it available to third parties. We also reserve the right to use non-personal data collected in aggregate and fully anonymized forms for other purposes, including the generation of reports or to improve the effectiveness of the Website.
2.14 Where required to by law or by a court order, we may disclose your identity to any third party who is claiming that any content posted or uploaded by you to our Website constitutes a violation of their intellectual property rights, or of their right to privacy.
Uploading content to our Website
2.15 Whenever you make use of a feature that allows you to upload content to our Website, or to make contact with other users of our Website, you must comply with the content standards set out in our Acceptable Use Policy (see below).
2.16 You warrant that any such contribution or submission (including the contents of any Brief Outline or Full Project Outline) complies with those standards, and you will be liable to us and indemnify us for any breach of this warranty.
2.17 We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our Website.
2.18 We have the right to remove any posting you make on our Website if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy.
2.19 The views expressed by other users on our Website do not represent our views or values.
2.20 You are solely responsible for securing and backing up your content.

By registering as a Buyer or Supplier with the Platform, you are hereby warrant that you are not a Consumer.
3.25 We do not guarantee that our Website will be secure or free from bugs or viruses.
3.26 You are responsible for configuring your information technology, computer programs and platform in order to access our Website. You should use your own virus protection software.
3.27 You must not misuse our Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorized access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack. Suspension and termination

(a) Immediate, temporary or permanent withdrawal of your right to use our Website.
(b) Immediate, temporary or permanent removal of any posting or material uploaded by you to our Website.
(c) Issue of a warning to you.
(d) Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
(e) Further legal action against you.
(f) Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
4.11 We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
Changes to the acceptable use policy

You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in this acceptable use policy may also be superseded by provisions or notices published elsewhere on our Website.
5. ADDITIONAL TERMS
5.1 We may transfer our rights and obligations under these terms to another party but this will not affect your rights or our obligations under these terms.
5.2 Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
5.3 If We fail to insist that you perform any of your obligations under these terms, or if We do not enforce our rights against you, or if We delay in doing so, that will not mean that We have waived our rights against you and will not mean that you do not have to comply with those obligations. If We do waive a default by you, We will only do so in writing, and that will not mean that We will automatically waive any later default by you.
